Terms of Service

Effective date: October 10, 2026

These Terms govern your use of the-social-desk.com and the services of The Social Desk, LLC ("we," "us," or "our"). By using the site or hiring us, you agree to them. If you hire us, your proposal, statement of work, or signed service agreement also applies. If one of them conflicts with these Terms, the signed document controls.

Using our website

Please use the site lawfully. Do not try to disrupt it, scrape it, or overload it, and do not submit false information. The text, designs, graphics, logos, and concepts on the site belong to us or our licensors, and you may not copy or reuse them without our written permission. Work labeled Concept Work is original work created to show our approach. It does not represent a client engagement.

Our services

We offer social media management, personal LinkedIn management, executive thought leadership, content and creative support, short-form video editing, website design, and landing pages. Prices on our site are starting points. The final scope and price are confirmed in writing, in a proposal, statement of work, or agreement, before work begins. If the scope changes later, we will agree on the change and any price adjustment in writing.

Unless we agree otherwise in writing, our social media services do not include direct message or inbox management, lead generation or sales outreach, paid advertising or ad management, community management, or full-length video production and heavy video editing. Work outside your scope needs a separate written agreement or a paid add-on.

Payment

  • Monthly social media services are invoiced monthly in advance, with payment due on Net 15 terms. Rates stay fixed for the first 12 months of an agreement and are then reviewed annually with 60 days written notice.
  • Website and landing page projects are paid in full before the project starts. Each project has a written statement of work (SOW) with an agreed start date and delivery due date.
  • A one-time onboarding fee, starting at $250, applies to new monthly clients, as shown on our pricing page.
  • Hosting, domains, premium software, paid plugins, stock photography licenses, third party platform fees, e-commerce, and advanced custom development are not included unless we quote them. Third party expenses may be billed separately.
  • Prices do not include taxes, if any apply.
  • If a payment is late, we may pause work until the account is current.

Starting, changing, and ending service

Monthly services have a minimum initial commitment of three months. After that, the agreement renews automatically for successive three month periods unless either of us gives written notice at least 30 days before the end of the current term. Payments are non-refundable once services begin, and we do not issue refunds or credits for partial months or early termination. Project fees are non-refundable once work has begun. We may end the relationship sooner if payment is not made, these Terms are broken, or we are asked to do something unlawful or against a platform's rules. When service ends, we will deliver all completed work that has been paid for. Access to our tools, templates, and workflows ends at the same time.

Your responsibilities

We plan and produce content well before it posts, often two to six weeks ahead or more. Our results depend on you taking part. You agree to:

  • Give us accurate information, brand guidelines, and the assets we need.
  • Review and approve content on time and give us clear direction and feedback, as described below.
  • Give us the access we need to your accounts, and keep your own login credentials secure.
  • Provide only photos, video, music, logos, quotes, and testimonials that you have the right to use, and have consent from anyone who appears in or is quoted in your content.
  • Provide the details we ask for, such as information about new products, services, projects, or events.
  • Name one main point of contact who gathers feedback from your team and gives us one set of direction.

Delays on your side can delay the schedule. Unused monthly deliverables do not roll over.

Timely review and clear direction

When we produce content weeks ahead of its posting date, regular review is critical to our success and yours. Please review and approve each delivery within 48 hours, and give clear, specific feedback so we can get it right the first time. Content that waits until the last few days before it posts leaves little room for design changes and can lead to rushed work. Rushed revisions may not be possible, and content that is not approved by its posting date will not be posted. We are not responsible for the resulting gaps in your schedule. We complete reasonable revisions within 24 hours of receiving your feedback. Same week requests are welcome when we receive them at least 48 hours before the desired posting time, and we may decline requests we cannot fulfill in the time available.

Changes of direction

Content is planned and produced in advance, so a change of direction affects work that is already done. This happens, for example, when a campaign is paused or cancelled after content has been created, when a topic is dropped, or when you ask to replace the agreed type of content, such as swapping static posts for video, after content has already been produced. Content that has been created or scheduled counts as delivered and is covered by the fees you have paid, and we do not issue credits or refunds for it. We will gladly adjust future content, and we will work with you on work already in progress where we reasonably can. A change to your agreed mix of services, such as moving from static posts to video, is a change in scope that needs written agreement, may carry additional fees, and applies going forward unless we agree otherwise. To avoid rework, please tell us about launches, campaigns, and changes in format as early as you can, and tell us how long a campaign is planned to run when you ask us to begin.

Our recommendations and your input

We will give you specific feedback when we see ways to improve your results. For example, we may recommend replacing some static posts with video to increase engagement, and we may ask for more detail about a new product, service, or project, or for a short write up of what you learned at a conference. Strong, repeatable content takes input from you. When we do not receive the information we ask for, we may need to make reasonable assumptions, and you remain responsible for approving the final content. Any change to your agreed services follows the terms above.

Photos and approvals

You are responsible for choosing the photos we use and for confirming that everyone shown is comfortable with how they appear. We do not make judgments about whether a photo is flattering or appropriate. Once a photo has been approved and posted, a request to review or replace earlier photos is treated as new work and may be scheduled or quoted separately.

Review and approval

Nothing publishes without your approval. Our team reviews work internally before it reaches you. Final approval is yours, which includes the accuracy of facts, claims, pricing, and any legal or regulatory requirements that apply to your business. Each project includes a defined revision round, agreed up front. Additional revisions may be billed.

Communication and working with our team

Our services are delivered by our team and managed virtual assistants. We manage client communication in Slack. If your team already uses Slack, we ask you to create a shared channel and add our team. If you do not have a channel, we will set up an external channel and invite you. The members of our team who work on your account, which may include our graphic designer, content writer, video editor, operations manager, and founder, may join the channel, and you are welcome to work with them directly on your content. Because every request needs to fit the scope of your agreement, a team member may check with our founder before acting on a request, and we may ask you to confirm a scope change or add-on in writing first.

Account access

We give you access to our scheduling platform so that you can connect your own accounts. We do not connect accounts for you. We ask that you add us as an admin, or give us equivalent permissions, on every account we manage. Where a platform's own permissions are not enough for us to do the work, we may ask you to share login credentials. We need this access because automated connections sometimes miss a tag or do not tag correctly, and our team needs to make quick edits directly on your LinkedIn, Facebook, or Instagram pages. We use your access only to do the work you hired us for, we treat your login information as confidential, and you keep ownership of your accounts. You can remove our access or change your credentials at any time.

Healthcare and regulated content

Many of our clients work in healthcare and home care. We create marketing and communication content only. We do not provide legal, compliance, clinical, or medical advice, and we do not review content for HIPAA, advertising, or other regulatory compliance. You are responsible for making sure your content, claims, testimonials, and any use of patient names, images, or stories follow the law and have the proper authorization. Please do not send us protected health information.

Ownership

Content we create for you is yours to use once it is delivered and paid for in full. Third party assets such as stock images, fonts, music, and templates follow their own license terms. We keep ownership of our tools, templates, workflows, systems, SOPs, methods, and pre-existing materials, and we give you a license to use them as part of your deliverables. We may keep working files for our records. We will show your work in our portfolio only with your permission.

No guarantees

We work hard to do the work well, and we do not guarantee followers, engagement, leads, sales, rankings, or any other specific result. Social platforms control their own algorithms, policies, and account status. We are not responsible for changes, restrictions, or outages on platforms we do not run.

Confidentiality

We keep your non-public business information confidential and use it only to provide our services. This does not apply to information that is already public or that we are required by law to disclose.

Third party services

Our site and services rely on third party tools, including scheduling, design, and social media platforms. Their own terms apply, and we are not responsible for their availability or performance.

Disclaimer

To the fullest extent the law allows, our website and services are provided as is, without warranties of any kind beyond what is stated in a signed agreement.

Limitation of liability

To the fullest extent the law allows, The Social Desk, LLC is not liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim connected to our services is limited to the fees you paid us in the 30 days before the claim arose.

Indemnification

You agree to defend and hold us harmless from claims that come from materials you provide, content you approve, or your violation of the law or these Terms.

Governing law

These Terms are governed by the laws of the State of Florida. Any dispute will be handled in the state or federal courts located in Lake County, Florida. Before filing a claim, please email us so we can try to resolve it informally.

Changes to these Terms

We may update these Terms from time to time and will change the effective date when we do. Continuing to use the site after an update means you accept the new Terms. Updates do not change a signed agreement.
